Terms of service

The agreement between your store and Portside Labs when you install and use Shelfcast. We’ve kept it as plain as we can.

Last updated

1This agreement

These terms are an agreement between Portside Labs, LLC (“Portside Labs”, “we”, “us”) and the business that installs Shelfcast (“you”). By installing or using Shelfcast you accept them on behalf of that business, and you confirm you’re allowed to do so. Our privacy policy explains how we handle information and forms part of these terms.

2The service

Shelfcast is an app for Shopify stores that syncs your catalog, stock and sales from Shopify, forecasts demand, suggests what to reorder, and helps you create, send and receive purchase orders, print labels, count stock and review your inventory history. It runs inside your Shopify admin and makes the stock changes you ask for in your Shopify store. The features each plan includes are listed onour pricing and in the Shopify App Store.

3Your account

You use Shelfcast through your Shopify account; there’s no separate login. Anyone your Shopify store lets open the app can use all of it, so manage who has access to apps in Shopify. You’re responsible for what happens through your store’s access, and you should tell us promptly at[email protected] if you think it’s been misused.

4Plans, trials and billing

  • Shelfcast is sold on monthly plans, billed by Shopify on your Shopify invoice. Shopify’s terms for app charges also apply.
  • New stores get a free trial of the length shown when they choose a plan. If you don’t uninstall or cancel before the trial ends, the plan’s fee starts.
  • You can change plans at any time from Shelfcast’s settings. Shopify works out any credits or charges for the change.
  • Fees are non-refundable except where the law requires otherwise or Shopify issues a credit. If you think you’ve been billed in error, email us and we’ll look into it.
  • We may change prices with at least 30 days’ notice to your store’s contact email. A new price applies from your next billing period after the notice ends.
  • Fees don’t include taxes, which Shopify charges where they apply.

5Your data

Your store’s information, including what Shelfcast syncs from Shopify and what you enter or import, stays yours. You give us permission to host, copy, process and display it only as needed to provide, secure and support Shelfcast for you, and as our privacy policy describes. You can export your suppliers, supplier products, purchase orders and adjustment history at any time. When you uninstall, your data is deleted as described in the privacy policy.

6Your responsibilities

  • Your decisions are yours. Forecasts, reorder suggestions and expected dates are estimates based on your data and settings. Check them before you order. You’re responsible for the purchase orders you place, your agreements with your suppliers, and your stock levels.
  • Your information is accurate. Suggestions depend on the lead times, costs, minimums and pack sizes you enter, and on your Shopify data.
  • You may contact your suppliers. When Shelfcast emails a purchase order, it sends it on your behalf to the addresses you enter. You confirm you’re entitled to contact them, and that you have any permission the law requires to store their contacts’ details in Shelfcast.
  • You follow the law that applies to your business and to your use of Shelfcast.

7Acceptable use

Don’t use Shelfcast to:

  • send spam or messages your recipients haven’t agreed to receive;
  • upload anything unlawful, harmful or that you don’t have the right to use;
  • access another store’s data, probe or break our security, or disrupt the service;
  • copy, resell or reverse engineer Shelfcast, or use it to build a competing product, except where the law allows it;
  • overload the service with automated requests.

We may suspend access that breaks these rules or puts the service or other stores at risk, and we’ll tell you why when we can.

8Shopify and other services

Shelfcast depends on Shopify and on the service providers listed in our privacy policy. We’re not responsible for Shopify or other third-party services, or for changes they make that affect Shelfcast, but we’ll work to keep Shelfcast running if they do. Your use of Shopify is governed by Shopify’s own terms.

9Our property and feedback

Shelfcast, its software, design and content belong to Portside Labs and our licensors. While these terms are in force, we give you a non-exclusive, non-transferable right to use Shelfcast for your store’s business. If you send us ideas or feedback, we may use them without owing you anything.

10Availability and changes

We work to keep Shelfcast available and reliable, but it may sometimes be interrupted for maintenance, by problems outside our control, or by Shopify. We may improve, change or remove features. If a change removes something significant from a plan you pay for, we’ll tell you in advance where we can.

11Ending the agreement

You can end this agreement at any time by uninstalling Shelfcast from your Shopify store. We may end it with 30 days’ notice, or straight away if you seriously or repeatedly break these terms, your store is closed, or the law requires it. When the agreement ends, your right to use Shelfcast stops and your data is deleted as the privacy policy describes. Sections 5, 9 and 12 to 16 continue after it ends.

12Disclaimers

Apart from the commitments in these terms, Shelfcast is provided “as is” and “as available”. To the extent the law allows, we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We don’t promise that forecasts or suggestions will be accurate, that Shelfcast will meet every need, or that it will be error-free or uninterrupted.

13Limitation of liability

To the extent the law allows, neither Portside Labs nor its members or staff are liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, sales, stock or data, even if we were told they were possible. Our total liability for all claims relating to Shelfcast is limited to the fees you paid us for Shelfcast in the 12 months before the claim arose. Nothing in these terms limits liability that can’t be limited by law.

14Indemnity

You’ll defend and compensate Portside Labs against claims by third parties, including your suppliers and customers, arising from your use of Shelfcast in breach of these terms or the law, or from the information you put into it.

15Governing law and disputes

These terms are governed by the laws of the State of Florida and the United States, without regard to conflict-of-law rules. Before bringing a claim, please email us so we can try to settle it. Any dispute that can’t be settled goes to the state or federal courts in Miami-Dade County, Florida, and both of us agree to their jurisdiction. If you’re a consumer in a country whose laws give you the right to bring claims locally, this doesn’t take that right away.

16General

  • We may update these terms. We’ll post the new version here with a new date, and email your store’s contact address at least 30 days before a material change takes effect. Using Shelfcast after that means you accept the change.
  • You can’t transfer this agreement without our consent. We may transfer it as part of a merger, sale or reorganization.
  • Neither of us is liable for delays caused by events beyond reasonable control.
  • If part of these terms can’t be enforced, the rest still applies. Not enforcing a right isn’t giving it up.
  • These terms and the privacy policy are the whole agreement about Shelfcast between us.
